Introduction
Welcome to Prime Credential LLC (“Prime Credential,” “we,” “us,” or “our”). These Terms and Conditions (“Agreement”) govern your access to and use of our website (the “Website”), software platform (the “Platform”), and any related features, content, or applications (collectively, the “Services”). By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree to these terms, please do not use our Services.
Overview
The Prime Credential LLC website, user platform, and any other related features, content, or applications (collectively, the “Service”) are operated by Prime Credential LLC, its subsidiaries, affiliates, and partners (collectively, “Prime Credential,” “us,” or “we”). The Prime Credential Service connects healthcare facilities, medical groups, hospitals, and their representative coordinators and administrators (“Healthcare Organizations”) with doctors of medicine or osteopathy, podiatrists, dentists, chiropractors, clinical psychologists, optometrists, nurse practitioners, nurse-midwives, and clinical social workers who are authorized to practice by the State and perform within the scope of their practice as defined by State law (“Healthcare Providers”). In this document, Healthcare Providers and Healthcare Organizations are collectively referred to as “users” or “you.” While using the Prime Credential Service, Prime Credential regards all Healthcare Organizations as representative agents of the entities for which they work.
By visiting and/or using the Prime Credential Service, you signify that you have read, understood, and agree to be bound by these Terms and Conditions. The Service is operated in the United States of America, and access is governed under the laws of the State of Florida and the United States. Your use of the Service and registration as a User results in your information being stored and processed in the United States, and you specifically consent to Prime Credential’s storage and processing of personal data.
Adults-Only Policy
The Website, Platform, and Services provided herein are intended for adults. Any registration by, use of, or access to the Service by any minor is unauthorized, unlicensed, and in violation of these Terms and Conditions. By using the Prime Credential Service, you represent and warrant that you are of legal age, and that you agree to abide by all of the terms and conditions of this Agreement.
Scope of Services
Prime Credential LLC provides credentialing services for healthcare providers and organizations, offers a software platform where users can add and track their information, and assists with tasks such as CAQH (Council for Affordable Quality Healthcare) management, NPI (National Provider Identifier) applications, and prior authorization services. Our Services are designed to streamline the credentialing process and help users maintain compliance with applicable regulations.
Modifications to the Agreement
Prime Credential has the right, at its sole discretion, to modify this Agreement, as well as the Services, at any time. Changes will be posted on the pertinent Website, Service, and/or sent via email or other communication, and by changing the date of the last revision on this Agreement. If any portion of this Agreement or any change to the Services is unacceptable to you or will cause you to no longer be in compliance with the Agreement, you must discontinue use of the Service. Continued use of the Services now or following posted notices of changes to this Agreement means that you have accepted and agree to be bound by the changes.
User Responsibilities
Accuracy of Information
You are responsible for providing accurate, complete, and up-to-date information when using our Services. This includes, but is not limited to, personal identification details, professional qualifications, licensing information, and any other data required for credentialing or other services.
Compliance
You agree to comply with all applicable federal, state, and local laws, regulations, and guidelines, including those related to healthcare, privacy, and data protection.
Use of Services
You agree not to misuse our Services or help anyone else do so. This includes, but is not limited to, interfering with our Services or accessing them using a method other than the interface and instructions we provide.
Account Registration and Security
To access certain features of our Services, you may need to create an account. You agree to:
- Provide accurate and complete registration information.
- Keep your login credentials confidential and secure.
- Notify us immediately of any unauthorized use of your account.
We are not liable for any loss or damage arising from your failure to comply with these requirements.
In order to access some features of the Prime Credential Service, you will have to create an account. You may never use another’s account without permission. When creating your account, you must provide true, accurate, and complete information. You agree that you will accurately and fully report any applicable licenses, insurance, malpractice claims, and employment history. You agree not to use the Prime Credential Service to impersonate any person or entity or falsely state or otherwise misrepresent yourself or your affiliation with any person or entity.
Screenshot Policy
You will not take and/or use any screenshots of the Website, Platform, or Service for any purpose without prior written authorization.
Consent to Data Processing
By using our Services, you consent to the collection, processing, and storage of your personal and professional data, including sensitive information, as described in our Privacy Policy. You acknowledge that such data may be used for credentialing purposes, communication with third parties, and as otherwise necessary to provide our Services.
Data Privacy and Security
We are committed to protecting your personal information. We implement reasonable administrative, technical, and physical safeguards to protect your data against unauthorized access, disclosure, alteration, or destruction.
HIPAA Compliance
We comply with the Health Insurance Portability and Accountability Act (HIPAA) and other applicable data protection laws. We may enter into a Business Associate Agreement (BAA) with covered entities as required by HIPAA.
Compliance with Healthcare Regulations
Both parties agree to comply with all applicable federal and state healthcare laws and regulations, including but not limited to those related to credentialing, licensure, and professional conduct.
Use of Information for Publicity
Prime Credential reserves the right to use certain information in your account for publicity and/or marketing purposes.
Intellectual Property Rights
All content, software, and materials available through our Services are the property of Prime Credential LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.
License
We grant you a limited, non-exclusive, non-transferable license to access and use our Services for your internal business purposes.
Restrictions
You may not:
- Copy, modify, or create derivative works of our Services.
- Reverse engineer, decompile, or disassemble any portion of our Services.
- Use our Services to develop a competing product or service.
User Submissions
The Prime Credential Service supports the submission of content, including users’ names, email addresses, physical addresses, videos, recordings, text, graphics, pictures, photos, and invoices prepared and submitted by users detailing work performed or other communications (“User Submissions”). You retain ownership of your User Submissions but grant us a non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Submissions as necessary to provide our Services.
You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. You agree not to submit content that is unlawful, defamatory, obscene, or that infringes on the intellectual property rights of others. Prime Credential reserves the right to remove User Submissions that violate these terms.
Third-Party Services
Our Services may involve third-party providers, such as CAQH and NPPES for NPI numbers. We are not responsible for the actions or omissions of these third parties. Your use of third-party services is subject to their respective terms and conditions.
Payments and Cancellations
Fees
Certain Services may require payment of fees. All fees are detailed during the transaction process, and you will be notified of any charges before they are incurred.
Payment Terms
You agree to pay all fees and charges associated with your use of the Services in a timely manner. We may suspend or terminate your access to the Services for late or non-payment.
Cancellation
You may cancel your Services according to the terms specified in your service agreement. Fees paid are non-refundable unless otherwise stated.
Limitations on Accuracy; Liability Disclaimer; Indemnification
We strive to provide accurate and timely Services. However, we do not guarantee that the credentialing process or any other Services will be error-free, complete, or current due to factors beyond our control, such as third-party verifications and regulatory approvals.
Limitation of Liability Specific to Credentialing
We are not liable for any delays, denials, or other issues in the credentialing process caused by third parties or due to inaccurate or incomplete information provided by you. Our maximum aggregate liability shall be limited to the amounts paid to Prime Credential LLC during the twelve (12) months preceding the incident giving rise to liability.
You agree to defend, indemnify, and hold harmless Prime Credential LLC from any claims, damages, obligations, losses, liabilities, costs, or debts arising from your use of the Prime Credential Service.
Termination Clause
By You
You may terminate this Agreement by discontinuing use of the Services and providing written notice to us.
By Us
We may terminate or suspend your access to the Services immediately, without prior notice, if you breach any terms of this Agreement or if required to do so by law.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of providing or using the Services. This obligation survives termination of this Agreement.
